SOPARFI holding company, as an SA or an SARL

It receives the dividends and capital gains of your subsidiaries and reinvests them without friction. The participation exemption regime can exempt them from 10% of the capital or €1.2 million invested (€6 million for capital gains), for a holding period of at least twelve months.

You manage a family portfolio

SPF, family wealth management company

A vehicle designed to group and pass on your private financial assets. Its taxation comes down to an annual subscription tax of 0.25%, between €1,000 and €125,000.

You invest with others

SCSp, special limited partnership

The Luxembourg equivalent of the French SLP. A contract tailored for a club deal, a family co-investment or a private vehicle, with wide freedom of organisation between partners.

You hold property

Property-holding civil company

To hold one or more properties jointly, organise their day-to-day management and prepare their transfer, in coordination with your notary.

What our clients ask us before setting up their holding company

Your partners may live in the country of their choice. What matters is the company’s real substance in Luxembourg and the way your country of residence treats its income: we analyse this in the structuring note, with your local tax adviser where useful.

The SOPARFI is the natural choice as soon as you hold shares in companies, particularly operating companies, or the holding company must invest in and finance its subsidiaries. The SPF is reserved for managing private financial assets on behalf of individuals. We compare both for your case, figures in hand.

The cost depends on the legal form chosen, the number of transactions and the publication requirements. You receive a written fixed fee before incorporation: every financial year is budgeted in advance.

Once the structure is settled and the documents gathered, incorporation before a notary generally takes a few weeks. We coordinate the timetable with everyone involved.

Yes. The accounts are opened in the company’s name, with the bank of your choice. We keep the books and, if you wish, steer the governance of the allocation in full independence.

Passing on shares in a holding company often proves simpler than passing on each asset separately. With your notary, we prepare the governance between heirs and the timetable for the handover.
